Terms of Use for FaithCode services, POS, and donations

These Terms of Use (“Terms”) are a binding agreement between you and FaithCode. They govern your access to and use of our website, FaithCode POS (web & mobile), subscriptions, support tools, donation/grocery assistance campaigns, and related services.

By accessing FaithCode, creating an account, clicking “Accept”, registering a business, making a donation, or otherwise using our services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

1 Acceptance of these Terms

These Terms apply to all visitors, registered merchants, staff users, donors, partners, and anyone who accesses FaithCode services. If you do not agree, do not use FaithCode.

  • If you accept on behalf of a business, you represent that you are authorized to bind that business.
  • Additional product-specific notices (for example checkout screens, plan pages, or donation confirmations) form part of your agreement where applicable.
  • Our Privacy Policy explains how we handle personal and business data and is incorporated by reference.

2 About FaithCode

FaithCode operates a modern Point of Sale, inventory, and business management platform built for Philippine MSMEs, together with a public marketing website and community initiatives such as donation / grocery assistance campaigns.

3 Services covered by these Terms

These Terms cover, without limitation:

  • The FaithCode marketing website and public pages
  • FaithCode POS web portal and mobile applications
  • Business registration, Free Register / trial offers, subscriptions, and add-ons
  • Modules such as POS, inventory, reports, staff/roles, e-wallet/E-Services, HR, bookings, WooCommerce sync, and related tools
  • BIR compliance features (when enabled for a tenant)
  • Customer Support / ticket system and Knowledge Base
  • Donation drives, grocery assistance campaigns, and related charity-support features we publish
  • Official store promotions and marketplace referrals we operate or link to

4 Accounts, eligibility & security

  • You must provide accurate, current, and complete registration information.
  • You must be legally capable of entering a binding agreement under Philippine law (or the law of your jurisdiction).
  • Business accounts must be used only by authorized owners, managers, and staff.
  • You are responsible for safeguarding passwords, devices, 2FA codes, and owner-level access.
  • Notify FaithCode promptly of suspected unauthorized access or account compromise.
  • We may refuse, suspend, or terminate accounts that provide false information or violate these Terms.

5 Plans, free trial, add-ons & billing

5.1 Subscriptions

  • FaithCode offers plans with different limits and modules (users, products, warehouses, features, and more).
  • Paid plans unlock the capacity and features included in that plan.
  • Billing follows the cycle shown at checkout (monthly, yearly, or as offered).
  • If a subscription ends or payment fails, access may be limited until renewed.

5.2 Free trial

  • Trials are for evaluation and may have limited features and capacity.
  • A trial is not a long-term free production plan.
  • Upgrade before the trial ends if you need to keep full access and business data continuity.

5.3 Add-ons

  • Optional modules/add-ons may be billed separately and can be enabled or disabled according to plan rules.
  • Canceling an add-on may remove access to that feature.

5.4 Data retention priority

  • Paid plan customers receive priority for data retention, backups, and data-access support.
  • If a free trial ends and you do not upgrade, FaithCode does not guarantee data retrieval, restore, or export of that trial data.
  • Trial data may be removed or become unavailable according to platform policy.

6 Lawful use only

FaithCode is provided solely for lawful business, community, and personal use permitted under the laws of the Republic of the Philippines and any other applicable jurisdiction.

  • You must comply with all applicable laws, regulations, licenses, and permits.
  • You must not use FaithCode to commit, facilitate, conceal, or promote any illegal activity.
  • You are solely responsible for the legality of your products, services, pricing, tax compliance, and customer dealings.
  • FaithCode may investigate suspected misuse and cooperate with lawful authorities when required.

7 Prohibited & illegal activities

Without limiting the generality of Section 6, you agree that you will not use FaithCode, our website, POS, donations, support channels, or any related service to engage in or assist:

  • Fraud, scams, phishing, identity theft, impersonation, or deceptive business practices
  • Money laundering, terrorist financing, or concealment of illicit funds
  • Sale or facilitation of illegal drugs, controlled substances, stolen goods, counterfeit products, or prohibited weapons
  • Human trafficking, exploitation, child sexual abuse material, or any abuse involving minors
  • Illegal gambling, unlicensed lending/usury schemes, or other regulated activities without proper authority
  • Tax evasion, falsification of official receipts/Sales Invoices, forged BIR/DTI/SEC documents, or fabricated PTU/MIN values
  • Hacking, malware distribution, denial-of-service attacks, credential stuffing, or unauthorized system access
  • Scraping, reverse engineering, or circumventing security/captcha/rate limits except as allowed by law
  • Spam, harassment, hate content, threats, or abusive communications toward FaithCode staff, merchants, or the public
  • Infringement of intellectual property, privacy, or other rights of third parties
  • Any activity that violates Philippine criminal law, consumer protection law, AML rules, cybercrime law, or other applicable statutes

Violation may result in immediate suspension or termination, forfeiture of promotional benefits, reporting to authorities, and pursuit of available legal remedies.

8 Donations, grocery assistance & community campaigns

FaithCode may run donation drives, grocery assistance programs (for example “Isang Pagkain, Isang Ngiti”), and similar community initiatives. These are intended for lawful charitable and social-good purposes only.

8.1 Purpose of donations

  • Donations and assistance contributions are for legitimate community support, beneficiary aid, or campaign purposes stated on the relevant page.
  • FaithCode is not a bank, remittance company, or investment platform.
  • Donation features must not be used to move, hide, or “clean” illicit funds.

8.2 Donor responsibilities

  • You must donate only using lawfully obtained funds.
  • You must not misrepresent your identity, payment source, or donation purpose.
  • You must not use donation checkouts to test stolen cards, commit payment fraud, or abuse refunds.
  • Where a campaign page states suggested amounts, item packs, or beneficiary themes, those descriptions are guides for the campaign and may be fulfilled operationally by FaithCode or designated partners.

8.3 No guarantee of tax deductibility

  • Unless FaithCode expressly states otherwise in writing for a specific campaign, donations are not represented as BIR-accredited deductible contributions.
  • Donors are responsible for determining any tax treatment with their own advisers.

8.4 Transparency & operational discretion

  • FaithCode will use reasonable efforts to apply contributions toward the stated campaign purpose.
  • Where exact item fulfillment is impractical, FaithCode may provide equivalent grocery/aid value or related beneficiary support consistent with the campaign intent.
  • Campaign availability, amounts, and mechanics may change or end at any time.

8.5 Refunds for donations

  • Donation transactions are generally final, except where required by law, payment-provider rules, or a clear processing error verified by FaithCode.
  • Suspected fraudulent donations may be cancelled, reversed, or reported.

8.6 Anti-abuse for donation programs

  • FaithCode may refuse, delay, or reverse contributions linked to illegal activity, sanctions exposure, or payment risk.
  • We may request additional verification for unusual donation patterns.
  • Abuse of donation programs is a material breach of these Terms.

9 Merchant & staff responsibilities

  • Use FaithCode only for lawful retail/business operations you are authorized to run.
  • Ensure products, prices, promotions, and customer data you enter are accurate and lawful.
  • Maintain your own business registrations (DTI/SEC/CDA as applicable), BIR registration, and local permits.
  • Assign staff roles carefully; you are responsible for actions taken under your account.
  • Do not upload malware, unlawful content, or third-party data you have no right to process.
  • Comply with consumer protection, labeling, pricing, and data privacy obligations toward your customers.

10 BIR accreditation tools & compliance features

  • FaithCode may provide BIR-ready POS features such as SI numbering, official-receipt formatting, X/Z-readings, and audit trails.
  • Enabling BIR Compliance for a tenant activates software features; it does not replace your store’s own BIR/DTI obligations.
  • You must encode only real TIN, business name, and permit values issued to your business.
  • You must not fabricate PTU, MIN, accreditation numbers, or fiscal records.
  • You remain responsible for correct tax treatment, reporting, and dealings with BIR.

11 E-Services, e-wallet, SMS & payments

  • Optional E-Services / Cash-In / Cash-Out features must be used only with legitimate providers and lawful customer transactions.
  • You must not use e-wallet tools for scams, mule accounts, or unauthorized fund movement.
  • Fees, references, and provider availability may depend on your configuration and third-party partners.
  • SMS, payment gateways, and marketplace checkouts may be provided by third parties under their own terms.
  • FaithCode is not liable for provider outages, rejected transactions, or partner policy enforcement beyond our reasonable control.

12 Content, branding & intellectual property

  • FaithCode name, logos, software, UI, documentation, and site content are owned by FaithCode or its licensors.
  • You receive a limited, non-exclusive, non-transferable right to use the platform for your internal lawful business during an active authorized subscription/trial.
  • You may not copy, resell, sublicense, reverse engineer (except where law prohibits this restriction), or create competing services from FaithCode materials unlawfully.
  • You retain rights to business data you upload, subject to our right to host/process it to provide the service and as described in the Privacy Policy.
  • Feedback you submit may be used by FaithCode to improve products without obligation to you.

13 Privacy & data protection

Our collection and use of personal data is described in the Privacy Policy. By using FaithCode, you also acknowledge those practices.

  • Merchants are responsible for lawful handling of customer/employee data they enter into FaithCode.
  • Security features (2FA, roles, device controls) should be configured appropriately for your risk level.

14 Support tickets & communications

  • Registered merchants should use the Support Ticket System for account/POS issues whenever possible.
  • Do not submit unlawful, abusive, or malicious content/attachments in tickets.
  • Support response times may vary by plan, severity, and volume.
  • Website contact forms are for general inquiries and are protected by captcha/rate limits against abuse.

15 Third-party services & marketplaces

  • FaithCode may link to Lazada, Shopee, TikTok Shop, Facebook, payment providers, SMS gateways, WooCommerce, or other partners.
  • Those services are governed by their own terms and privacy policies.
  • FaithCode is not responsible for third-party websites, availability, pricing, shipping, or partner account decisions.

16 Service availability, updates & offline use

  • We aim for reliable service but do not guarantee uninterrupted, error-free operation at all times.
  • Maintenance, updates, force majeure, or infrastructure issues may cause temporary downtime or degraded features.
  • Offline POS capabilities depend on device/app conditions; you must sync when connectivity returns and verify critical transactions.
  • We may modify, add, or remove features to improve security, compliance, or product quality.

17 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAITHCODE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED.

  • FaithCode does not promise specific revenue results for your business.
  • Compliance tools assist your operations but do not constitute legal, tax, or accounting advice.
  • You should consult qualified professionals for BIR, DTI, corporate, and tax decisions.

18 Limitation of liability

To the maximum extent permitted by law:

  • FaithCode and its officers, employees, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
  • This includes lost profits, lost sales, lost data (except where we separately commit retention obligations for paid plans), business interruption, or goodwill loss.
  • Our aggregate liability for claims relating to the services in any 12-month period will not exceed the fees you paid to FaithCode for the affected subscription during that period (or PHP 5,000 if you paid no fees), except where liability cannot be limited by law (for example proven fraud or willful misconduct by FaithCode).

19 Indemnification

You agree to defend, indemnify, and hold harmless FaithCode and its team from claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of FaithCode in violation of these Terms or applicable law
  • Your business operations, products, tax filings, customer disputes, or staff actions
  • Illegal or fraudulent use of donations, e-wallet features, POS records, or accounts
  • Content or data you upload or process through the platform

20 Suspension, termination & enforcement

  • You may stop using FaithCode at any time; plan cancellation follows the billing rules shown in your account.
  • FaithCode may suspend or terminate access immediately for illegal activity, security risk, non-payment, fraud, or material breach.
  • We may remove content, disable modules, or restrict donation participation to protect users and the platform.
  • Sections that by nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) will survive termination.

21 Governing law & venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Subject to mandatory consumer protections, courts in Metro Manila / Quezon City shall have jurisdiction over disputes arising from these Terms, unless applicable law requires otherwise.

Nothing in these Terms limits either party’s right to seek urgent injunctive relief for IP misuse, data abuse, or ongoing illegal activity.

22 Updates to these Terms

FaithCode may update these Terms as the platform, campaigns, or laws evolve. We will revise the effective date on this page and may provide additional notice through the website, app, or email for material changes. Continued use after an update constitutes acceptance of the revised Terms.
